Article 1 Application of these Terms of Use

  1. 1. The “Gurunavi Website Terms of Use” (hereinafter referred to as these “Terms”), shall apply to users (including persons who have completed membership registrations within Gurunavi websites. Hereinafter referred to as “Customers”) of all websites operated solely by Gurunavi Inc. (hereinafter referred to as “Gurunavi”) and websites operated jointly by Gurunavi and partner companies (including applications related to said websites. Hereinafter referred to collectively as “Gurunavi Websites”). Gurunavi Websites provide various information provision services in relation to food, restaurants, and facilities, and online shopping services, etc. We ask that Customers thoroughly read and understand these Terms prior to using Gurunavi Websites. The use of Gurunavi websites by a Customer shall be construed as the Customer’s agreement to these Terms.
  2. 2. In cases where there are terms other than these Terms, which have been separately defined in relation to various services provided through Gurunavi Websites (hereinafter referred to as “Services Terms”), Customers must agree to said Services Terms when using Gurunavi Websites. In the event of inconsistencies or conflicts between the provisions of these Terms and the Services Terms, the provisions of the Services Terms shall prevail. Furthermore, points for attention and usage guidance, etc. posted on Gurunavi Websites by Gurunavi shall comprise a portion of these Terms or the Services Terms.

Article 2 Services Additions, Changes, etc.

  1. 1. In relation to the various services provided by Gurunavi, Gurunavi may, under its own judgment, add new services, or change, suspend or discontinue existing services. When discontinuing existing services, Gurunavi shall notify Customers of said discontinuation of services over an appropriate notification period.
  2. 2. In relation to the content of services provided by Gurunavi, Gurunavi offers no guarantees concerning service certainty, usefulness, results of access to services, etc. Furthermore, Gurunavi shall bear no responsibility for any damages that may occur through download or access via Gurunavi Website search services. Customers must use their own judgment in such matters, and use such services under their own responsibility.

Article 3 Transactions via Gurunavi Websites

  1. 1. Transactions undertaken by Customers via Gurunavi Websites (including, but not limited to reservations of restaurants and facilities, acquisition of various coupons, use of mail-order services, posting of inquiries to restaurants and facilities, use of bulletin boards on Gurunavi Websites, etc.) shall be conducted as direct transactions between Customers and each service provider posted on or operating stores on Gurunavi Websites (this refers to parties providing products or services subject to transactions via Gurunavi Websites, hereinafter referred to as “Service Providers”, and includes, but is not limited to, restaurants, facilities, product vendors, and agents of said parties.) Gurunavi shall not be party to such transactions, and shall bear no responsibility in relation to transactions. In the unlikely event of issues occurring in relation to transactions, such issues must be resolved directly between the Customers and Service Providers.
  2. 2. Inquiries regarding the specifications and content of products and services handled by Service Providers on Gurunavi Websites, and the handling of personal information by Service Providers, etc. should be sent directly to Service Providers.

Article 4 Use of Bulletin Boards, etc.

  1. 1. Gurunavi shall bear no responsibility for any content posted through services allowing contributions by Customers, such as Gurunavi Website word-of-mouth bulletin boards, etc. (hereinafter referred to as “Bulletin Boards, etc.”), and offers no guarantees concerning the credibility, authenticity, and legality of any content posted on Bulletin Boards, etc. Furthermore, Customers shall not use Bulletin Boards, etc. for commercial purposes.
  2. 2. Gurunavi reserves the right to delete any content posted on Bulletin Boards, etc. that Gurunavi deems to be in violation of these Terms. Furthermore, if you notice a posting that seems to be in violation of these Terms, please contact us via THIS link.
  3. 3. Regarding the previous paragraph, Gurunavi does not bear any responsibility for the continuous monitoring of Bulletin Boards, etc. or the deletion of specific postings.

Article 5 Services for Members, etc.

  1. 1. Of the various services provided by Gurunavi, for those that require membership registration, please indicate your consent to the various terms related to said membership registration and then conclude registration by following the prescribed procedure.
  2. 2. Gurunavi retains the right to cancel the membership registration of any member found to be in violation of these Terms.

Article 6 Privacy Policy, etc.

Customer membership registration information, Customer related information acquired by Gurunavi (including personal information), and cookie information, shall be handled in accordance with Gurunavi’s Privacy Policy and the List of cookies used for activity history, attribute information, and advertisement delivery services provided by third parties.

Article 7 Prohibited Acts

Regarding the use of Gurunavi Websites by Customers, Gurunavi prohibits the following acts. In the unlikely event that a violation of these has occurred, Gurunavi may terminate the various transactions conducted by the Customer through Gurunavi Websites, and may deny any future use. Furthermore, in the event that Gurunavi incurs losses due to the Customer’s violations, said Customer shall bear responsibility for compensation.

  1. (1)Acts that violate the terms of use for the various services provided by Gurunavi, including these Terms.
  2. (2)Acts that violate or may violate the proprietary or moral rights of Gurunavi, companies working in partnership with Gurunavi, other Customers, and other third parties, such as intellectual property rights, patent rights, utility model rights, design rights, trademark rights, copyrights, and portrait rights, etc.
  3. (3)Acts that harm or may harm the profit, honor, or reputation of Gurunavi, companies working in partnership with Gurunavi, other Customers, and other third parties.
  4. (4)Acts that violate or may violate the privacy of another party.
  5. (5)Acts that attack or slander, or may attack or slander, another party.
  6. (6)Acts that violate or may violate public order and morality.
  7. (7)Criminal acts, acts that may lead to criminal acts, acts that support such acts, or acts that may be such acts.
  8. (8)Acts involving the unlawful use of Gurunavi Websites while masquerading as another person.
  9. (9)Acts involving the use of Gurunavi Websites for the purpose of creating opportunities to meet persons who are not personal acquaintances.
  10. (10)Acts of solicitation for groups, products, and services, etc. that are unrelated to Gurunavi.
  11. (11)Acts that violate laws or ordinances.
  12. (12)Acts that use Gurunavi Websites for commercial purposes without Gurunavi’s permission.
  13. (13)Acts involving duplication, storage, sales, sub-licensing, copying or reproduction to an extent greater than that required for personal use, of Gurunavi Websites, various services provided by Gurunavi, or Gurunavi Content (defined hereunder in Article 9), in whole or in part, without Gurunavi’s permission.
  14. (14)Acts that involve the uploading of computer viruses, codes, files, or programs, etc. that are designed to obstruct or disrupt the functions of software/hardware, communications devices used by other Customers, or the public transmission of such using methods such as e-mail, etc.
  15. (15)Acts that disrupt or obstruct the server or network functions of Gurunavi or Gurunavi’s partner companies.
  16. (16)Acts that gather and store the personal information of other Customers, regardless of methods used.
  17. (17)Any other acts deemed inappropriate by Gurunavi.

Article 8 Handling of Links

  1. 1. When a Customer wishes to establish a link to a page within Gurunavi Websites, please do so in accordance with the Link Policy.
  2. 2. In cases where links to other websites or resources have been established within Gurunavi websites, or where other third party websites or resources provide links to Gurunavi websites, Gurunavi shall bear no responsibility in relation to their use or the outcomes of such use.

Article 9 Intellectual Property Rights

  1. 1. All rights (ownership rights, IP rights, portrait rights, publicity rights, etc.) related to the various content (including but not limited to various types of information, data, software, music, audio, photographs, pictures, images, etc. Hereinafter referred to as “Gurunavi Content”) posted on Gurunavi Websites are retained by Gurunavi or by a third party retaining such rights, for which Gurunavi has obtained permissions.
  2. 2. Customers may only download or print Gurunavi Content within the scope required for personal use. However, when using Gurunavi Content, Customers are not permitted to delete, alter, or change any markings that indicate copyrights, trademark rights, or in any other way indicate the rights holder.

Article 10 Submitted Content

  1. 1. The Customer grants Gurunavi permission to freely copy, publicly transmit, interpret/adapt, publish, etc. or otherwise make use under copyright law, descriptions, reviews, comments, questions, recipes, and any other content concerning restaurants, products, and services, etc. submitted to Gurunavi by the Customer (hereinafter referred to as “Submitted Content”).
  2. 2. The Customer guarantees that Submitted Content is created solely by the Customer, and that said content does not violate any third party’s copyrights or other IP rights. However, in cases where Submitted Content includes a third party’s copyright or other IP rights due to exceptional circumstances where such is necessary, the Customer must undertake the necessary processing of such rights at the Customer’s own responsibility and expense.
  3. 3. Regarding Gurunavi’s use of Submitted Content, as prescribed under Paragraph 1, the Customer shall not claim author’s moral rights (right to make work public, right of attribution, right to integrity) under copyright law. However, this excludes cases where such use harms the honor or reputation of the Customer.
  4. 4. Regarding Gurunavi’s use of Submitted Content as prescribed under Paragraph 1, there shall be no regional restrictions, obligations to indicate copyright, or other incidental conditions, and no usage fees will be generated for the Customer through such conditions, even during the lifetime of the copyright of the Submitted Content.

Article 11 Revision of these Terms

  1. 1. These Terms will be subject to change by Gurunavi, and revised Terms shall apply to Customers from the effective date prescribed by Gurunavi.
  2. 2. Changes that are formalities (correction of spelling errors, misprints, etc.), which will have no impact on rights and obligations as prescribed in these Terms, may be made without any notification to Customers.
  3. 3. Regarding revisions to the agreement that conform to the common interests of Customers, Gurunavi may change these Terms by notifying Customers through postings on Gurunavi Websites showing the content of the revised Terms and the effective date.
  4. 4. For revisions other than those defined in the preceding two paragraphs (cases where there is a need for changes that do not infringe the objectives of these Terms, etc.), Gurunavi shall post the content of the revised Terms and the effective date on Gurunavi Websites at least two weeks prior to the effective date (when a longer lead time is set due to the degree of inexpediency, then said lead time.)

Article 12 Validity of these Terms

Even in cases where a part of a provision in these Terms is deemed invalid in accordance with laws, the remaining articles of these Terms and the remaining portion of the article of which a part has been deemed invalid shall continue to remain in force.

Article 13 Governing Law and Competent Courts

  1. 1. The conclusion, effectiveness, and interpretation of these Terms shall be governed and construed in accordance with the laws of Japan.
  2. 2. When a need for judicial action arises between Gurunavi and a Customer, such action shall be subject to the agreed exclusive jurisdiction of the Tokyo District Court in the first instance.
